Terms of Service

1. Acceptance of Terms

By accessing or using the GrapplingU mobile application and website at grapplingu.com (the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Service Description

GrapplingU is a Brazilian Jiu-Jitsu coaching platform operated by GrapplingU Inc. that provides:

• AI-powered coaching and training recommendations
• Curriculum tracking and progress monitoring
• Class scheduling and session management for coaches and students
• Positional sparring games and drill libraries
• Training logs, roll tracking, and skill progression

3. Eligibility

You must be at least 16 years old to use the Service.

4. Account Registration

To access the Service, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your password
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

We may suspend or terminate accounts that violate these Terms or remain inactive for more than 12 months, with 30 days notice via email.

5. Subscription and Payment

5.1 Billing

• Subscriptions are billed in advance on a recurring basis (monthly or annually)
• All prices are in US Dollars (USD) unless otherwise stated. Stripe automatically converts to your local currency at checkout
• Applicable taxes (GST/HST) may be added
• Payment is processed by Stripe, Inc. (see also Stripe's Privacy Policy)

If your payment method fails, we will notify you and provide a 7-day grace period to update your information. After that, your account will be downgraded to the free tier.

We may change subscription prices with at least 30 days advance notice via email.

5.2 Cancellation and Refunds

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of the current billing period
• No prorated refunds for partial billing periods
• Refunds for billing errors will be processed within 14 days

5.3 Gym Membership Payments

When you subscribe to a gym membership through GrapplingU, your payment is processed by Stripe Connect and paid to the coach's or gym's connected Stripe account. The coach or gym is the merchant of record for the transaction.

• Pricing: The coach or gym sets the membership pricing and tier descriptions. GrapplingU does not control or guarantee the accuracy of gym membership pricing or descriptions.
• Refunds: Refunds for gym memberships are the responsibility of the coach or gym. Contact your coach directly for refund requests. GrapplingU is not responsible for issuing refunds for gym membership payments.
• Cancellation: You may cancel your gym membership at any time through your account settings. Cancellation takes effect at the end of the current billing period.
• Disputes: If you have a billing dispute regarding a gym membership, contact your coach first. If you cannot resolve the issue with your coach, contact us at grapplinguteam@gmail.com and we will assist in mediating the dispute.
• Service responsibility: The coach or gym is solely responsible for delivering the services described in their membership tiers. GrapplingU does not guarantee the availability, quality, or content of gym classes or instruction.

5.4 Coach Payment Terms

Coaches who accept payments from students through GrapplingU agree to the following:

• You must create and maintain a valid Stripe Connected Account and comply with Stripe's Connected Account Agreement and Stripe's Privacy Policy
• You are solely responsible for the services you provide to students, including the accuracy of your membership tier descriptions and pricing
• You are responsible for handling student refund requests for gym memberships
• You are responsible for complying with all applicable tax laws related to payments received through the platform
• GrapplingU may charge a platform fee on gym membership transactions, which will be disclosed before you activate payments
• GrapplingU reserves the right to suspend payment features for coaches who violate these Terms, receive excessive disputes or chargebacks, or engage in fraudulent activity

If your coach account is terminated, any active student memberships will be canceled and students will be notified.

5.5 Auto-Renewable Subscriptions (iOS)

If you subscribe through the Apple App Store:

• Payment is charged to your Apple ID account at confirmation of purchase
• Your subscription automatically renews unless canceled at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period
• You can manage and cancel subscriptions in your Account Settings in the App Store
• Any unused portion of a free trial, if offered, will be forfeited when you purchase a subscription

6. Intellectual Property

All content, features, and functionality of the Service — including curriculum content, game designs, technique descriptions, software, graphics, and AI-generated responses — are owned by GrapplingU Inc. or our licensors and protected by copyright and trademark laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes.

You may NOT:

• Copy, modify, distribute, or republish our content
• Download or screenshot curriculum materials for redistribution
• Use the Service for commercial purposes without authorization
• Reverse engineer or attempt to extract source code
• Share your account credentials
• Use automated tools (bots, scrapers) to access the Service

7. User Content

You retain ownership of content you create (training logs, notes, chat messages). By submitting content, you grant GrapplingU Inc. a non-exclusive, worldwide, royalty-free license to use, store, process, and display such content solely for providing the Service.

When you delete your account, your personal content will be deleted within 30 days.

9. Coach and Student Roles

Coaches agree to use student training data only for coaching purposes within their gym and not to share, sell, or commercially exploit student data.

Students who join a gym consent to their coach(es) viewing their training data as described in our Privacy Policy.

10. Acceptable Use

You agree not to use the Service to:

• Harass, threaten, or abuse other users through messaging or any other feature
• Create fraudulent gym listings or misrepresent your qualifications as a coach
• Impersonate another person or entity
• Share, distribute, or reproduce copyrighted content (curriculum materials, technique descriptions, game designs) outside the platform
• Attempt to manipulate, exploit, or extract training data from the AI coaching assistant
• Use the Service for any unlawful purpose or in violation of any applicable laws
• Interfere with or disrupt the Service or servers connected to the Service

Violation of this section may result in immediate suspension or termination of your account.

11. Assumption of Risk

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI-generated content will be correct.

13. Limitation of Liability

To the maximum extent permitted by law, GrapplingU Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Note for Canadian Users: Some provinces do not allow limitation of liability for certain damages. In such cases, the above limitations apply to the fullest extent permitted by law.

14. Indemnification

You agree to indemnify and hold harmless GrapplingU Inc. from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or any physical injury arising from your training activities.

15. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes that cannot be resolved informally within 30 days may be pursued through the courts of the Province of Ontario, Canada.

16. Force Majeure

GrapplingU Inc. shall not be liable for any failure or delay due to circumstances beyond its reasonable control, including natural disasters, pandemics, power failures, or internet outages.

17. Changes to Terms

We may modify these Terms with at least 30 days advance notice via email. Continued use after the effective date constitutes acceptance. If you disagree, you may cancel your account before the changes take effect.

18. General Provisions

• These Terms and our Privacy Policy constitute the entire agreement between you and GrapplingU Inc.
• If any provision is found unenforceable, the remaining provisions continue in effect.
• Failure to enforce any right does not constitute a waiver.
• You may not assign your rights under these Terms. We may assign ours in connection with a merger or acquisition.
